Subject of the license This License governs the use of the karaoke software developed and distributed by Elio Gargiulo (hereinafter, the "Author"), and in particular: - Elio Karaoke Studio (hereinafter, the "Studio version"); - Elio Karaoke Player and the other programs that the Author identifies as Players (hereinafter, the "Players"); together, hereinafter, the "Software". The Software is distributed free of charge and remains the property of the Author and/or of the respective rights holders. This License grants the user only the rights expressly stated in this document. No ownership rights in the Software or in its source code are transferred to the user. 2. Acceptance By installing, copying or using the Software, the user declares that they have read and accepted this License. Anyone who does not accept the License is not authorized to install or use the Software. 3. Free use and installations The Software may be used free of charge, without paying any license fees, royalties or other consideration to the Author. Subject to the provisions of article 5 for the Studio version, the Software may be used for personal, professional and commercial purposes, in compliance with the terms of this License. The user may install the Software on an unlimited number of compatible devices. This authorization is personal and does not constitute an authorization to distribute the Software to third parties in ways other than those provided for in article 6. 4. Commercial use of the Players The Players may be used free of charge also in the context of commercial and professional activities. By way of example, a Player may be used in: - public venues; - commercial businesses; - events; - public gatherings; - shows; - karaoke nights; - other activities open to the public. The user may receive fees or revenue from their own activity in which the Player is used. Such fees do not constitute payment for the Software and do not create any payment obligation towards the Author. 5. Limitations of the Studio version The Studio version is intended exclusively for personal and private use. The Studio version may not be used to provide services to the public, in public venues, commercial businesses, public events, shows or other activities in which the Software is used publicly. Any specific limitations stated on the download page or in the documentation of the Studio version form an integral part of the terms of use. 6. Download and distribution The Software is distributed free of charge exclusively through the official website https://eliokaraokestudio.com. Sharing the link to the official website and to its download pages is freely permitted, including on websites, forums, blogs, social networks, online groups, documentation and other means of communication. However, without the Author's prior written authorization, it is not permitted to: - upload the Software or its installation files to other websites; - make copies of the Software available for download through other services; - independently distribute installers, executables or packages of the Software; - create mirrors or independent copies of the download pages; - distribute modified or unofficial versions of the Software. Anyone wishing to share the Software must therefore use a link to the official website. The purpose of this provision is to ensure that users always obtain the official and up-to-date versions of the Software directly from the Author. 7. Prohibition of sale The Software is licensed free of charge. It is prohibited to sell the Software or to request a payment specifically for: - downloading the Software; - installing the Software; - the right to use the Software; - providing a copy of the Software; - access to the Software. Source code The source code of the Software is not licensed to the user, and this License grants no right of access to it. Some parts of the Software, such as the Python scripts needed for audio processing, are distributed in readable form because they are necessary for the program to work. Such parts are granted exclusively for running the Software and remain subject to all the terms of this License. Except as mandatorily provided by applicable law, modifying, adapting, transforming, decompiling, disassembling or creating derivative works of the Software is not authorized. 10. Modified and unofficial versions Distribution of modified, altered or derivative versions of the Software is not authorized. The name, logo and identifying elements of the Software may not be used to present as official a version that has been modified or was not distributed by the Author. 11. Third-party components The Software uses third-party components (including Python, PyTorch, Demucs, FFmpeg, NAudio, SoundTouch and .NET libraries), some included in the installation package and others downloaded during installation from the servers of their respective providers. Such components are distributed under their respective licenses, which prevail over this License as far as they are concerned. No provision of this License limits the rights the user has under those licenses. Backing tracks and other content The Software grants no rights to the backing tracks, recordings, songs, lyrics, images, videos or other content used by the user. The user is responsible for verifying that they hold all the rights, permissions and licenses required by law to use such content, including those for public performance or public use. This License in no way constitutes an authorization to use, reproduce, distribute, publicly perform or make available musical works or other protected content. The Author accepts no responsibility for content uploaded, played or used by the user. The Software must in any case be used in compliance with applicable law. 13. Privacy and internet connections During installation and use, the Software may connect to the internet to download components, search for lyrics and check for available updates. Intellectual property The Software, the source code, the structure of the program, the documentation and the original elements developed by the Author are protected by the applicable intellectual property and copyright laws. The free distribution of the Software does not imply any waiver of the Author's rights. All rights not expressly granted by this License are reserved to the Author and/or to the respective rights holders. 15. No obligation to provide updates or support The Software is provided free of charge. The Author assumes no obligation to: - provide technical support; - guarantee updates; - develop new features; - maintain a particular version; - guarantee future compatibility with any device or operating system. The Author may publish, modify, update, replace or withdraw a version of the Software at any time. 16. Disclaimer of warranties and limitation of liability The Software is provided "as is", in the state in which it is distributed. To the extent permitted by law, the Author does not warrant that the Software is free of errors, that it will work without interruption or that it is compatible with any device, hardware configuration or operating system. The user is responsible for verifying the compatibility of the Software with their own environment and for keeping backup copies of their files. To the extent permitted by law, the Author is not liable for direct or indirect damages, loss of data, loss of profits or business interruption arising from the use of or inability to use the Software. This does not affect liability for wilful misconduct or gross negligence, nor the rights that the law mandatorily grants to consumers. 17. Breach of the License Use of the Software in breach of the terms of this License terminates the authorizations granted by the License, to the extent permitted by law. In that case the user must stop using the Software and uninstall it. Termination of the License is without prejudice to any further rights of the Author arising from the infringement of copyright or of other applicable provisions. 18. Changes to the License The Author may publish new versions of this License to govern future versions of the Software. The version of the License applicable to each version of the Software is the one supplied with the corresponding installer or indicated on the official download page. 19. Governing law and language This License is governed by Italian law. Any dispute falls under the jurisdiction of the court determined by law, without prejudice to the consumer's court when the user acts as a consumer. This License is drawn up in Italian.
